Please read these Terms and Conditions (“Terms”) carefully before using the Genie ERP platform (“Service”) operated by Genie ERP, Inc. (“Company”, “we”, “us”, or “our”). By accessing or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Genie ERP platform, you confirm that you are at least 18 years of age, have the authority to enter into this agreement on behalf of your organization, and agree to comply with these Terms and all applicable laws and regulations.
2. Description of Service
Genie ERP is a cloud-based, AI-powered Enterprise Resource Planning (ERP) platform designed for small and medium-sized businesses (SMBs). The Service includes modules for CRM, Sales, Purchase, Inventory, Project Management, Customer Support, WhatsApp Automation, Instagram Automation, and Website Chatbot, accessible via a web-based interface.
3. Subscription and Pricing
3.1. Pricing: The Service is offered at a flat rate of $100 USD per user per year, inclusive of all modules.
3.2. Payment: Subscription fees are billed annually in advance. All fees are non-refundable except as expressly stated in these Terms.
3.3. Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 30 days before the renewal date.
3.4. Price Changes: We reserve the right to modify pricing with at least 30 days’ written notice prior to your next billing cycle.
4. Account Registration and Security
4.1. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.2. You must notify us immediately of any unauthorized use of your account or any security breach at support@genie-erp.com.
4.3. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used fraudulently.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation
- Send unsolicited communications (spam) via any integrated messaging channels
- Transmit any malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Collect or harvest data about other users without their consent
- Use the Service for any purpose that is fraudulent, abusive, or harmful to others
6. Third-Party Integrations
6.1. Genie ERP integrates with third-party services including WhatsApp Business API, Meta (Facebook/Instagram), and other platforms. Your use of these integrations is subject to the respective third-party terms of service.
6.2. We are not responsible for any disruptions, changes, or discontinuation of third-party services that may affect the functionality of Genie ERP integrations.
6.3. You are solely responsible for ensuring compliance with Meta’s policies, WhatsApp Business policies, and any other third-party platform policies when using integrated features.
7. Data Privacy and Security
7.1. We collect and process your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
7.2. You retain ownership of all data you input into the Service (“Customer Data”). We do not sell or share your Customer Data with third parties except as required to provide the Service or as required by law.
7.3. We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.
7.4. Upon termination of your subscription, we will retain your data for 30 days, after which it may be permanently deleted. You are responsible for exporting your data prior to termination.
8. AI-Powered Features
8.1. Genie ERP includes AI-powered features such as automated messaging, task suggestions, behavior analysis, and sales agent capabilities. These features are provided as tools to assist your business operations.
8.2. AI-generated outputs, recommendations, and automated communications are not a substitute for human judgment. You are solely responsible for reviewing and approving any AI-generated content before use.
8.3. We do not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated outputs.
9. Intellectual Property
9.1. The Service, including all software, designs, features, and content, is owned by Genie ERP, Inc. and protected by intellectual property laws. All rights are reserved.
9.2. We grant you a limited, non-exclusive, non-transferable license to use the Service solely for your internal business operations during the subscription period.
9.3. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.
10. Limitation of Liability
10.1. To the maximum extent permitted by applicable law, Genie ERP, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10.2. Our total cumulative liability to you for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
10.3. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so the above limitations may not apply to you.
11. Service Availability and Modifications
11.1. We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.
11.2. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes.
12. Termination
12.1. Either party may terminate the subscription at the end of the current billing period by providing written notice.
12.2. We may immediately suspend or terminate your account if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.
12.3. Upon termination, your right to access and use the Service will cease immediately. Provisions that by their nature should survive termination will remain in effect.
13. Governing Law and Dispute Resolution
13.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
13.2. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
14. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a prominent notice on our website at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
