1. Agreement to Terms

By accessing and using Genie ERP, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms & Conditions, please do not use our services.

2. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Genie ERP platform for your internal business purposes
• Store and manage your business data within the system
• Integrate with supported third-party services

You may not:

• Modify, reverse engineer, or create derivative works
• Rent, lease, loan, resell, sublicense, or distribute the platform
• Use the platform for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities conducted through your account

4. Service Availability

We strive to provide continuous service availability, but we do not guarantee that the service will be uninterrupted or error-free. We reserve the right to:

• Modify or discontinue services with reasonable notice
• Perform scheduled maintenance with advance notification
• Suspend access in case of security threats or violations

5. Data and Privacy

You retain all rights to your data. By using our services, you grant us the right to store, process, and transmit your data as necessary to provide the services. We will handle your data in accordance with our Privacy Policy.

You are responsible for:

• The accuracy and legality of data you upload
• Obtaining necessary consents from your customers
• Maintaining backups of critical data
• Compliance with applicable data protection laws

6. Payment Terms

If you subscribe to a paid plan:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all fees
• Failure to pay may result in service suspension or termination
• Prices may change with 30 days notice

7. Third-Party Integrations

Our platform integrates with third-party services including WhatsApp, Facebook Messenger, and Instagram. You acknowledge that:

• Use of these integrations is subject to the terms of the respective platforms
• We are not responsible for the availability or functionality of third-party services
• You must comply with all applicable terms and policies of third-party platforms

8. Intellectual Property

The platform, including all content, features, and functionality, is owned by Genie ERP and is protected by international copyright, trademark, and other intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by law, Genie ERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of the service.

10. Indemnification

You agree to indemnify and hold harmless Genie ERP from any claims, damages, liabilities, and expenses arising from your use of the service, violation of these terms, or infringement of any rights of another party.

11. Termination

We may terminate or suspend your account and access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the service will immediately cease
• You may request an export of your data within 30 days
• We may delete your data after the retention period

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Egypt, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through the platform. Continued use of the service after changes constitutes acceptance of the modified terms.
